[12] Special Council

Special Council members are individuals elected by majority general vote to protect the democracy, the integrity and the safety of the DAO.

The Special Council advise on proposals, review changes to governance, support the foundation and help with dispute resolution when needed.

[12.1] Number of seats

There are 5 seats on the Special Council.

[12.2] Term length

From the first election onwards:

  1. Special Council members serve terms of up to a maximum of 14 months in a given seat before the seat must be re-elected.

  2. Any handover period is not included in the maximum term length.

  3. If 14 months is surpassed without an election then the incumbent Special Council Member must stand down.

[12.3] Term limits

Special Council members can serve a cumulative maximum of 5 years, after which they can no longer be elected to the Special Council.

[12.6] Impeachment

A Special Council member or Interim Special Council member can be impeached if any one of the following requirements are met:

  1. A unanimous vote amongst all Guiding Contributors (minimum of 2).

  2. A unanimous vote amongst all other Special Council members (minimum of 2 other special council members).

  3. A majority at general vote.

However if a supermajority vote of Special Council members appeal an impeachment vote by Guiding Contributors then the impeachment must be settled by a majority general vote instead. This supermajority of Special Council members cannot include the individual under consideration for impeachment.

An impeached Special Council member must immediately stand down from their position and forfeits all compensation from the date of impeachment.

An impeached Special Council member also forfeits any unpaid token compensation regardless if it was previously considered earned.

An impeached Special Council member should not be prevented from running in future elections as consequence for their impeachment.

[12.7] Resignation

Special Council members can resign at any time by providing written notice of resignation to Slingshot DAO.

A resigning Special Council member is accountable for ensuring governance continuity as part of their resignation.

This includes finding and referring a new member and making sure any data, credentials, assets, and other interests of Slingshot DAO are properly transferred and maintained during the transition.

All resigning Special Council members must fulfil any Handover requirements.

[12.9] Operating Principles

  1. Operate independently and in the best interest of the DAO and token holders.

  2. Be stewards of accountability, and by best efforts, hold Guiding Contributors and working groups accountable on behalf of the DAO.

  3. Work to uphold sound capital stewardship across the DAO and be held accountable for it.

  4. Lead by consulting, supporting and attending the needs of Guiding Contributors and the DAO.
